Apogee Enterprises, Inc. (Nasdaq: APOG) a leading provider of architectural building products and services, as well as high-performance coated materials used in a variety of applications, announced today that it has entered into a definitive agreement to acquire Kalwall Companies (“Kalwall”) from the Keller family for up to $115 million on a cash-free, debt-free basis, subject to customary closing conditions. The purchase price consists of $105 million cash at close and up to $10 million of cash earnout subject to financial performance through the end of the Company’s fiscal 2027 third quarter. The transaction is subject to certain customary closing conditions and is expected to close during the Company’s fiscal 2027 second quarter.
